Terms of Service

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Company" refers to Devtree SAS, a simplified joint-stock company with a capital of 1,000 euros, registered at the Paris Trade and Companies Register under number 981202 583, with its registered office at 13 Bis avenue de la motte-picquet 75007 Paris
  • "Integrator" refers to any person or entity who embeds the Pan-l widget script on their website or digital platform
  • "User" refers to any individual who interacts with and uses the Pan-l widget on websites where it has been integrated
  • "Widget" refers to the Pan-l JavaScript component that can be embedded on third-party websites
  • "Service(s)" refers collectively to the Pan-l widget, dashboard interface, and all associated functionalities
  • "Platform" refers to the Pan-l website and dashboard interface
  • "Client" refers collectively to both Integrators and Users of the Services
  • "Account" refers to the Client's account created under the conditions provided herein, accessible from the Platform
  • "Subscription" refers to any act of subscription to a Service plan by the Client
  • "Service Provider" refers to any third-party company providing payment or other services to the Company.

2. Purpose and Enforceability

These Terms of Service ("Terms") define the contractual relationship between the Company and Clients, as well as the conditions and methods by which the Company provides Services to Clients.

They specifically describe:

  • The Services offered on the Platform
  • Conditions for accessing the Platform and Services
  • Conditions under which Clients may subscribe to Services
  • Obligations and responsibilities of Integrators and Users
  • Technical requirements and security protocols
  • Payment terms and conditions
  • Data processing and privacy policies

These Terms are systematically brought to the attention of Clients to enable them to subscribe to Services. They apply exclusively to all subscriptions on the Platform and take precedence over all other conditions, except those expressly accepted by DEVTREE. Consequently, all other conditions only bind DEVTREE after written confirmation from us.

Important Notice to Clients

Any subscription from the Platform implies express, prior, full and complete acceptance by the Client of the Terms of Service, by checking the box "I have read and accept the Terms of Service" and by accepting them during subscription. The Client acknowledges that they are bound by all Terms of Service.

DEVTREE encourages Clients to read them carefully before accessing the Platform, using and/or subscribing to Services, and recommends that Clients keep a printed version of the applicable Terms of Service from their first use of Services for their personal records.

3. Prerequisites for Subscription and Use

To use the Services, Clients must:

  • Possess a computer, smartphone and/or tablet connected to an internet network
  • Access the Platform through supported web browsers
  • Create an Account according to the procedures provided herein
  • For Integrators: have authority to embed third-party widgets on their websites
  • For Users: have appropriate permissions to interact with integrated widgets

Legal Capacity and Guarantees

Clients guarantee that they have full legal capacity to subscribe to Services and specifically:

  • Have reached the legal age of majority in their jurisdiction
  • Are not a competitor of the Company and/or do not register and use the Services for the purpose of competing with the Company fraudulently and/or in a manner harmful to the Company's interests
  • Are the holder of the payment method used to make payments
  • Act on their own behalf, are fully authorized to subscribe to Services and to use the corresponding payment methods, and that these payment methods provide access to sufficient funds to cover all costs resulting from the subscription
  • Comply with all applicable laws and regulations in their jurisdiction
  • Will not use the Services to process sensitive, confidential, or proprietary information without proper authorization

Technical and Security Requirements

  • Integrators must ensure their websites support modern JavaScript and HTTPS protocols
  • Users must use supported browsers with JavaScript enabled
  • All parties must maintain reasonable security measures for their accounts and access credentials
  • During Beta period: use only on non-production environments with test data

The Company cannot be held responsible for registration and use of Services by persons who do not meet the conditions provided for in this article.

4. Beta Service Status

Pan-l is currently provided as a Beta service. During this Beta period, the following conditions apply:

  • Integrators should only install the widget on non-production websites, staging environments, or development sites
  • Users are strongly advised to connect only test accounts and use sample data when using the service
  • The service may undergo significant changes, updates, or temporary interruptions as we refine functionality
  • Features and capabilities may be modified, added, or removed without prior notice during the Beta period

5. Service Description

Pan-l provides the following services:

  • Widget Service: An embeddable JavaScript widget that can be integrated into third-party websites
  • Dashboard Interface: A web-based tracking and management interface for widget users
  • AI Content Analysis: Artificial intelligence services that analyze web page content and convert it into structured data components
  • Third-Party Integrations: Connections to external services including Google, Slack, Trello, and other platforms via integration partners

6. Widget Functionality and Usage

The Pan-l widget provides the following capabilities:

  • Content Selection: Users can select portions of web page content where the widget is embedded through multiple methods: manual element selection, area selection, full page scan, or audio requests (processed through third-party service ElevenLabs.io)
  • AI Analysis: Selected HTML content is analyzed by AI systems to identify and structure components
  • Component Management: Users can choose which analyzed components to use for subsequent AI operations
  • Service Integration: Connection to third-party services through secure authentication protocols
  • AI Actions: Execution of user-requested actions such as sending emails, creating documents, or posting to communication platforms

7. Data Processing and Security

7.1 Content Processing

  • We process web page content through multiple methods: explicit user selection, full page scanning, or AI-assisted selection based on audio requests
  • For full page scans or audio requests, the complete HTML content of the page may be transmitted to AI systems along with the transcribed audio request (processed by ElevenLabs.io) to identify and select the relevant sections
  • HTML content is analyzed for component identification, structuring, and service improvement purposes. This includes:
    • Technical analysis to improve component detection and structuring
    • Pattern recognition to enhance user selection suggestions
    • Training data for improving AI understanding of user intentions
  • Content storage and processing safeguards:
    • Only content from pages explicitly authorized by site administrators is processed
    • Only user-selected, explicitly scanned content is stored
    • For audio requests, the complete HTML content of the page is stored along with the transcribed audio request to ensure accurate processing and context preservation
    • Stored content is associated with specific improvement purposes and task management features
    • Content is retained as long as necessary for providing the task management and tracking services
    • Personal data processing is governed by our Privacy Policy and applicable data protection laws
    • Users can manage their stored content and request deletion through their dashboard
  • Data Processing Flow and Third-Party Services:
    • AI Processing Services:
      • OpenAI, Anthropic, and Google AI services receive content for analysis and processing
      • Local AI models (via Ollama) process data when selected
      • AI services may store data according to their respective privacy policies
    • Operation Support Services:
      • ElevenLabs.io processes voice inputs for text conversion
      • Picaos.com facilitates service connections and processes AI-transformed data
      • These services may temporarily store data for processing purposes
    • Integration Services:
      • Connected services (Google, Slack, Trello, Hubspot, etc.) receive AI-processed data
      • Data is transformed and formatted according to each service's API requirements
      • Services process data according to their respective terms and privacy policies
  • Data Usage and Processing:
    • Content is processed and stored to enable task tracking and management features
    • Personal data may be included when necessary for task management purposes
    • Data is used to maintain task history and enable tracking across integrated services
    • Content may be analyzed to improve service functionality and user experience

7.2 Third-Party Service Security

  • Third-party service connections are established through secure OAuth protocols or API keys
  • We use integration partners (including picaos.com for service connections and ElevenLabs.io for audio processing and text-to-speech services) to facilitate secure connections
  • Partners store credentials for third-party services, services can be revoked at any time in the dashboard

7.3 Data Retention

  • Usage analytics and logs are retained for service improvement purposes
  • User account information is maintained until account deletion
  • Temporary processing data is automatically purged after completion of operations

8. User Responsibilities and Restrictions

8.1 Content Usage Rights

  • You must have appropriate rights to select and process content from websites where you use the widget
  • You are responsible for ensuring compliance with website terms of service and copyright laws
  • You must not use the widget to process sensitive, confidential, or proprietary information without authorization

8.2 Integration Requirements

  • Website integrators must have authority to embed third-party widgets on their websites
  • Integration must comply with applicable privacy laws and website policies
  • Clear disclosure to website visitors about the presence and functionality of the widget is required

8.3 Prohibited Uses

  • Attempting to reverse engineer, modify, or circumvent widget security measures
  • Using the service for illegal activities or violation of third-party rights
  • Overwhelming our systems with excessive requests or automated usage
  • Attempting to access other users' data or accounts
  • Using the service to analyze, study, or develop competing products or services, including but not limited to creating similar AI-powered content analysis tools, widgets, or platforms
  • Benchmarking, monitoring, or analyzing our service functionality, performance, or features for competitive intelligence purposes

9. Third-Party Service Integration

Our service integrates with various third-party platforms. By using these integrations, you acknowledge that:

  • You must comply with the terms of service of each connected platform
  • We are not responsible for the availability, functionality, or policies of third-party services
  • Integration partners (such as picaos.com for service integrations and ElevenLabs.io for audio processing) may have their own terms and privacy policies
  • You grant us permission to perform actions on your behalf on connected services as requested through the widget
  • You can revoke third-party access at any time through your dashboard or the respective service's authorization management

10. AI Processing and Content Usage

Our AI systems process content to provide structured data analysis. You understand that:

  • AI analysis results may not be 100% accurate and should be reviewed before use
  • We use third-party AI services including OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), as well as local LLM models via Ollama such as Gemma, Qwen, Mistral, Deepseek, and other language models
  • AI-generated actions are performed based on your explicit instructions and connected service permissions
  • You remain responsible for the accuracy and appropriateness of AI-generated content and actions

11. Payment and Subscription Terms

11.1 Subscription Plans and Pricing

  • Subscription fees are clearly displayed on our pricing page and in your account dashboard before purchase
  • All prices are indicated in Dollars (USD) and include applicable taxes unless otherwise specified
  • Subscription fees are billed in advance on a recurring basis according to a monthly billing cycle
  • Free trial periods, if offered, are clearly indicated and do not require payment information until the trial expires
  • Beta access may be provided at no cost or at reduced rates during the testing period

11.2 Payment Processing and Methods

  • Payments are processed securely through third-party payment provider : Stripe.com
  • Accepted payment methods include major credit cards (Visa, Mastercard, American Express), debit cards, and other methods as displayed during checkout
  • Payment information is encrypted and stored securely by our payment processors Stripe.com
  • We do not store complete payment card information on our servers
  • Payment authorization occurs immediately upon subscription confirmation

11.3 Automatic Renewal and Cancellation

  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • You will receive email notifications at least 7 days before automatic renewal with renewal details
  • You can cancel your subscription at any time through your account dashboard or by contacting customer support
  • Cancellation takes effect at the end of the current billing period - you retain access until then
  • No partial refunds are provided for cancelled subscriptions unless required by applicable consumer protection laws

11.4 Payment Failures and Account Suspension

  • If payment fails, we will attempt to retry payment up to 3 times over a 10-day period
  • You will be notified by email of payment failures and given opportunity to update payment information
  • Services may be suspended after 10 days of unsuccessful payment attempts
  • Account data is retained for 30 days after suspension to allow for payment resolution
  • Accounts with unpaid balances may be terminated and data permanently deleted after 30 days

11.5 Pricing Changes and Notifications

  • We reserve the right to modify subscription pricing with at least 30 days advance written notice
  • Price changes will be communicated via email and through your account dashboard
  • Existing subscribers will be subject to new pricing from their next renewal date following the notice period
  • You may cancel your subscription before the price change takes effect to avoid the new rates
  • Promotional pricing and discounts are subject to specific terms and conditions

11.6 Refunds and Disputes

  • Refund policies are detailed in your account dashboard and subject to applicable consumer protection laws
  • Refund requests must be submitted within the applicable timeframe through our customer support channels
  • Payment disputes should be reported immediately to customer support with relevant documentation
  • We will investigate and respond to payment disputes within 10 business days
  • Chargebacks or payment reversals may result in immediate account suspension pending resolution

12. Right of Withdrawal for Non-Professional Clients

In accordance with French Consumer Code, non-professional clients (consumers) have the right to withdraw from their subscription within 14 days of purchase without having to justify their decision.

12.1 Withdrawal Period

  • The withdrawal period is 14 days from the date of subscription confirmation
  • To exercise your right of withdrawal, you must inform us of your decision through a clear statement
  • You can use our contact information provided in Article 19 or through your account dashboard

12.2 Refund Process

  • Upon valid withdrawal, we will refund all payments received from you within 14 days
  • Refunds will be processed using the same payment method used for the original transaction
  • If you have used the Services during the withdrawal period, you may be charged a proportional amount for the services provided

12.3 Exceptions

This right of withdrawal applies only to non-professional clients (consumers) and does not apply to business or professional users.

13. Service Availability and Support

While we strive to maintain high service availability, we do not guarantee uninterrupted access. Service interruptions may occur due to maintenance, updates, or unforeseen technical issues. We provide support through our designated channels and will make reasonable efforts to resolve issues promptly.

14. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount paid by you for the service in the twelve months preceding the claim.

15. Privacy and Data Protection

Your privacy is important to us. Our data processing practices are governed by our Privacy Policy, which forms an integral part of these Terms. We comply with applicable data protection regulations including GDPR and CCPA where applicable.

16. Account Termination

Either party may terminate the service relationship at any time. Upon termination, your access to the service will cease, and we will delete your personal data in accordance with our Privacy Policy, except where retention is required by law or for legitimate business purposes.

17. Governing Law and Jurisdiction

These Terms are governed by French law, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Paris, France.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through our service interface. Continued use of the service after changes constitutes acceptance of the modified Terms.

19. Force Majeure

The Company's liability cannot be engaged if the non-execution or delay in the execution of any of its obligations described in these Terms results from a case of force majeure.

Force majeure exists in contractual matters when an event beyond the debtor's control, which could not reasonably have been foreseen at the time of conclusion of the contract and whose effects cannot be avoided by appropriate measures, prevents the debtor from performing their obligation.

The party invoking force majeure shall make every effort to reduce as far as possible the harmful effects resulting from this situation. In this respect, the Company may notably cancel the Subscription and/or modify the Services composing the Subscription.

If the impediment is temporary, the performance of the obligation is suspended unless the resulting delay justifies termination of the contract. If the impediment is permanent, the contract is automatically terminated, and the parties are released from their obligations under the conditions provided for in Articles 1351 and 1351-1 of the French Civil Code.

20. Miscellaneous

20.1 Modifications

The Company reserves the right to modify these Terms at any time, particularly to take into account any legal, jurisprudential, editorial, functional and/or technical changes.

20.2 Partial Invalidity

If one or more of the clauses or provisions of these Terms are held to be invalid or declared null and void by law, regulation, or following a final decision of a competent court, the other provisions shall retain their full force and scope.

20.3 Language

The language applicable to these Terms is English. If a translation is made, only the English version shall have contractual value.

20.4 Evidence

The files, data, and messages recorded in the Company's computer systems will be admitted as proof of acts and facts occurring between the Company and Clients.

21. Governing Law and Jurisdiction

These Terms are governed by French law. In case of dispute, only French courts will have jurisdiction.

21.1 Non-Professional Clients

In accordance with Articles L.211-3 and L.612-1 of the French Consumer Code, non-professional Clients are informed that any dispute may be submitted to consumer mediation after a prior written approach to the Company that has not been resolved.

21.2 Professional Clients

ANY DISPUTES RELATING TO THE INTERPRETATION OR EXECUTION OF THESE TERMS AND THE CONTRACTS THAT WILL FOLLOW OR RESULT FROM THEM WILL BE SUBMITTED TO THE JURISDICTION OF THE PARIS COURTS, EVEN IN CASE OF MULTIPLE DEFENDANTS OR THIRD-PARTY PROCEEDINGS.
